Full Job Description

1-3 hours / week You will be required to attend monthly board meetings in Swindon, but most other duties could be done remotely., Swindon Food Collective is the local food bank supporting people in need. We are seeking a Company Secretary to support the Trustees and play a key role in ensuring smooth operations and compliance with statutory and regulatory requirements.

What will you be doing?

The role encompasses maintaining precise records, coordinating board meetings, and managing legal and regulatory affairs. Moreover, the Company Secretary facilitates communication among the Trustees and operational team, so contributing to the efficient governance of the food bank.

Duties include:

  • Becoming familiar with Swindon Food Collective's governing documents and relevant charity and company rules, advising the board where necessary

  • Ensuring compliance with the governing document along with charity and company law, including preparation and filing of accounts and annual returns

  • Maintaining the statutory register of Trustees and company and charity information

  • Identifying and helping to implement best practice, ensuring that the Trustees are aware of relevant codes such as the Charities Governance Code and Code of Conduct

  • Assisting the Chair of Trustees to manage monthly board meetings and the AGM (plan meeting dates, book room, send out notifications, agendas, minutes and other papers)

  • Taking minutes and maintaining the record of meetings, ensuring decisions taken and agreed actions are accurately recorded, communicated and implemented, Our services are needed now more than ever and as a volunteer, you will make a real difference to your local community.     Strong organisational and time management skills

  • Excellent verbal and written communication skills with a keen eye for detail and precision

  • Flexible and positive approach with ability to work both independently and as part of a team

  • Proficiency in Microsoft Office applications (Word, Excel, PowerPoint)

  • Previous secretarial or admin experience, ideally including supporting meetings, preparing agendas and taking minutes

  • Knowledge of charity governance and compliance issues is preferred
